1. Acceptance of Terms

By accessing or using Suhep ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind such entity.

If you do not agree with any of these terms, you are prohibited from using or accessing this Service. All provisions of the Terms which by their nature should survive termination shall survive.

2. Description of Service

Suhep is a SaaS platform that provides AI-powered knowledge base, support ticketing, live chat, and customer communication tools. The Service is provided on an "as is" and "as available" basis.

• AI-powered knowledge base and article management
• Support ticket creation and management system
• Live chat and chatbot functionality
• Analytics and reporting dashboard
• White-label customization and embedding capabilities where enabled for the account
• Reviewed API or integration access where enabled for the account

3. Accounts and Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your account information remains accurate and up to date

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Transmit spam, unsolicited messages, or bulk communications
• Upload or transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to any system or network
• Harass, abuse, or harm any person
• Infringe upon the intellectual property rights of others
• Collect user data without explicit consent
• Reverse engineer or attempt to extract the source code of the Service

5. Payment and Billing

Certain features of the Service require payment of fees. By subscribing to a paid plan, you agree to pay all applicable fees. All payments are processed securely by our payment processor. Fees are:

• Non-refundable except as stated in our Refund Policy
• Billed in advance on a monthly or annual basis
• Subject to change with 30 days advance notice
• Exclusive of applicable taxes, which you are responsible for paying

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Hostao LLC and its licensors. Our trademarks may not be used in connection with any product or service without prior written consent.

You retain ownership of all data and content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for the purpose of operating and improving the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOSTAO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us at support@suhep.com. Upon termination, we will retain your data for 30 days before permanent deletion.

10. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Wyoming.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by email or by posting a notice on our Service at least 30 days before the effective date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
